Pro Data Subscription Terms

These Pro Data Subscription Terms govern your subscription to DeliverAI Pro Data and Pro Data Enterprise (each a "Pro Subscription") and are in addition to the consumer-facing Terms of Service. Where these Pro Terms conflict with the consumer Terms, these Pro Terms apply for Pro Subscription matters.
1. Definitions
"DeliverAI" means the operator of deliverai.co.za, a sole proprietorship operating in the Republic of South Africa.
"Subscriber" means the legal entity named on the Pro Data invoice.
"Pro Data" means the paid data feed including corridor-level booking volumes, courier API health, click-through outcomes, coverage gap heatmaps, weight & urgency distribution, hourly refresh, 2-year history, and CSV / JSON / Parquet downloads.
"Subscription Term" means the rolling monthly period beginning on the date your first invoice is paid in full.
2. Subscription, Billing & Payment
- Pricing. Pro Data: R 2,499 per calendar month, VAT inclusive. Pro Data Enterprise: per signed quote.
- Billing cycle. Monthly in advance. We issue a South African tax invoice on or before the 1st of each month.
- Payment method. Electronic Funds Transfer (EFT) to the South African bank account stated on each invoice. No card, no debit order, no automatic charge.
- Payment terms. Pro Data: payable on receipt of invoice (effectively 7 days). Pro Data Enterprise: 30 days from invoice date unless otherwise agreed in writing.
- Late payment. Interest accrues at the prime lending rate plus 2% from the due date. After 14 days overdue we may suspend access. After 30 days overdue we may terminate the Pro Subscription.
- Price changes. We may change pricing on at least 60 days written notice. Existing committed terms (Enterprise) are honoured.
- No refunds for partial months. Cancellation takes effect at the end of the paid period; no pro-rata refunds.
3. Service Level (SLA)
- Target uptime. 99.5% per calendar month for Pro Data API endpoints, measured from outside our hosting region. Public health dashboard: deliverai.co.za/status.
- Exclusions. Scheduled maintenance (we give at least 48 hours notice), force majeure, third-party network outages, and Subscriber-caused issues are excluded.
- Service credit. If we miss 99.5% uptime in a calendar month, you receive a credit of 10% of that month's fee, applied to the next invoice. Maximum credit per month: 50% of that month's fee. Credits are the sole remedy for SLA breach.
- Support response. Pro Data: 1 business day. Pro Data Enterprise: 4 business hours (Mon–Fri 08:00–17:00 SAST).
4. Data Use & Licensing
- The Pro Data feed is licensed (not sold) to the Subscriber for internal business use.
- Permitted: ingest Pro Data into Subscriber dashboards, models, internal reports, and customer-facing products provided the underlying records are aggregated or transformed and DeliverAI is not redistributed verbatim as a data product.
- Not permitted without written consent: reselling raw Pro Data, sublicensing to a third party, training a public foundation model on the raw feed, or publishing Pro Data fields as a standalone dataset.
- Sharing inside the Subscriber group is permitted. Sharing across legal entities is not.
- The Free Dataset (CC-BY 4.0, /data) is separately licensed and is not part of these Pro Terms.
5. Data Processing & POPIA
- For data we process on the Subscriber's behalf, DeliverAI acts as Operator (Processor) and the Subscriber acts as Responsible Party (Controller) under POPIA.
- Pro Data itself does not contain personal information of end recipients; it is aggregated courier price and operational data.
- Where any personal information is exchanged (e.g. Subscriber team email addresses for API key delivery), we process it only for the purpose stated and retain it for the duration of the Pro Subscription plus 12 months.
- A Data Processing Agreement (DPA) is available on request for Pro Data Enterprise customers.
- Data may be hosted outside South Africa (Supabase US/EU, Vercel) under adequate safeguards. Cross-border transfers comply with POPIA section 72.
6. Security Commitments
- Encryption in transit (TLS 1.2+) and at rest (AES-256 via hosting providers).
- API authentication by per-Subscriber bearer token; tokens rotated on Subscriber request within 1 business day.
- Row-Level Security on Postgres; sensitive tables (e.g. partnership signals) accessible only via service role.
- Daily database backups with 7-day retention on the hosted plan.
- Vulnerability monitoring via Sentry; security advisor lints reviewed quarterly.
- Incident notification: in the event of a confirmed personal data breach affecting Subscriber data, we will notify the Subscriber within 72 hours.
7. Confidentiality
Each party will keep confidential information received from the other party (including business plans, customer lists, technical specs) confidential and use it only for purposes of the Pro Subscription. This obligation survives termination for 2 years. Public information and information independently developed are excluded.
8. Warranties & Disclaimers
- DeliverAI warrants that the Pro Data feed will substantially conform to the description on /pro-data as of the date of subscription.
- Pro Data is provided as-is and as-available. Courier source data is best-effort from public rate cards and live courier APIs; accuracy depends on third-party sources.
- No warranty is made that Pro Data is fit for any specific Subscriber purpose. The Subscriber is responsible for validating data fitness before relying on it.
9. Liability
- Total aggregate liability of DeliverAI for any claim arising from a Pro Subscription is capped at the total fees paid by the Subscriber in the 12 months preceding the claim.
- Neither party is liable for indirect, consequential, special, or punitive damages, or for loss of profits, revenue, data, or anticipated savings.
- The cap and exclusions do not apply to a party's breach of confidentiality, IP infringement, or any liability that cannot be limited by South African law.
10. Indemnification
Each party will defend and indemnify the other against third-party claims to the extent caused by the indemnifying party's gross negligence, wilful misconduct, or breach of these Pro Terms, subject to: (a) prompt written notice, (b) reasonable cooperation, and (c) the indemnifying party's sole control of defence and settlement.
11. Term, Suspension & Termination
- The Pro Subscription is a rolling monthly term that auto-renews unless cancelled.
- Termination for convenience. Either party may terminate by 30 days written notice to the other; the Pro Subscription ends at the end of the paid period.
- Termination for material breach. Either party may terminate immediately on written notice if the other commits a material breach that is not cured within 14 days.
- Effect. On termination Subscriber loses access to Pro Data. Subscriber may retain copies of data already exported, subject to clause 4 (Data Use).
- Data export on termination. On written request within 30 days of termination we provide a final CSV export of the Subscriber's active data window.
12. Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, internet outages, government action, labour disputes, war, or load-shedding affecting our infrastructure providers. The affected party will notify the other and resume performance as soon as practicable.
13. Changes to These Terms
We may update these Pro Terms on at least 30 days notice to your invoiced email. Continued use after the effective date constitutes acceptance. If you object, you may terminate without penalty under clause 11.
14. General
- Governing law. Republic of South Africa.
- Jurisdiction. Exclusive jurisdiction of South African courts, without prejudice to consumer rights under the Consumer Protection Act where applicable.
- Assignment. Neither party may assign these Pro Terms without the other's prior written consent, except to an affiliate or successor in a merger or asset sale.
- Notices. Email notices to hello@deliverai.co.za and to the Subscriber's invoice email address.
- Entire agreement. These Pro Terms plus the signed quote (if any) constitute the entire agreement for the Pro Subscription and supersede prior discussions.
- Severability. If any clause is held unenforceable the remainder remains in effect.
- No waiver. Failure to enforce any provision does not waive that or any other provision.
